These Terms and Conditions (“Terms”) govern your access to and use of the ProFruits.in website, including any related media, mobile site, or application (collectively, the “Site”).

By accessing or using the Site, you acknowledge that you have read, understood, and agreed to be bound by these Terms. If you do not agree, please discontinue use immediately.

4. Products

All fruits sold on ProFruits.in are fresh, natural products — hand-selected and sourced from trusted growers and importers. Because fruits vary in color, size, texture, and ripeness, such differences are natural characteristics and not considered product defects.

While we make every effort to describe and display products accurately through photographs and descriptions, variations may occur due to lighting, monitor settings, harvest conditions, or natural ripening.

All products are subject to:

  • Availability: Certain fruits are seasonal or available in limited quantities. Orders may be substituted with similar or higher-value fruits if a specific item is unavailable.

  • Weight and Count Tolerance: Minor weight differences (±5%) may occur due to moisture loss or size variations during handling.

  • Ripeness: Fruits may be delivered in varying ripeness stages to ensure freshness during transit and longer shelf life for the customer.

  • Substitutions: If a product is out of stock, a fruit of equal or greater value will be substituted to maintain the quality and presentation of your order.

All substitutions are made at the discretion of our team, ensuring the overall aesthetic, value, and quality of the hamper or basket remain consistent with the original order.
Substitutions made in good faith do not qualify as wrong item delivery and are not eligible for refund or complaint.

We reserve the right to modify product descriptions, packaging, and pricing without prior notice in order to maintain freshness, quality, and sourcing consistency.

5. Purchases & Payment

All payments are accepted via secure online gateways (credit/debit cards, UPI, wallets, etc.) in Indian Rupees (INR).

By placing an order, you agree to provide accurate billing and delivery information. We reserve the right to correct pricing errors, limit order quantities, or cancel suspicious or duplicate transactions.
Cash on Delivery (COD) and cheque payments are not accepted.

6. Delivery & Risk

We deliver seven days a week across Mumbai with same-day and express options.

  • Delivery times are estimated, not guaranteed.

  • Once marked Delivered by our logistics partner, the delivery is deemed successful, even if received by security, reception, or another authorized person.

  • Risk and responsibility transfer to the customer upon successful delivery.

  • Customers must check their package immediately and report any visible damage within 12 hours.

ProFruits is not responsible for non-delivery or delay due to:

  • Incorrect, incomplete, or unreachable addresses

  • Recipient unavailability

  • Restricted or high-security premises (hospitals, hotels, corporate offices, etc.)

If such delivery fails, the order will be considered fulfilled and non-refundable. Re-dispatch (if feasible) will be charged separately.

7. Order Cancellations

We begin preparing every order immediately to ensure freshness. Because fruits are highly perishable, cancellations are permitted only within strict timelines.

  • Orders can be cancelled only before 9:00 AM on the scheduled delivery date or before dispatch, whichever comes first.

  • Once an order is packed, dispatched, or handed over to our delivery partner, it cannot be cancelled, modified, or refunded under any circumstances.

  • For same-day deliveries, no cancellations or changes are possible once the order is placed.

  • Any request made after the cancellation cut-off time will be treated as a completed order and charged in full.

8. Returns & Refunds

Due to the perishable nature of fruits, returns are not accepted.
Refunds or replacements are considered only under the following verified conditions:

  • Wrong items delivered

  • Damaged or spoiled fruits upon delivery

  • Unauthorized substitutions

All claims must be reported within 12 hours of delivery with clear, timestamped photographs showing:

  1. The full packaging and label

  2. The affected fruits in their delivered condition

Partially eaten, discarded, or altered items are not eligible for refund or replacement.
All quality assessments are performed internally, and ProFruits’ decision shall be final.

Approved refunds are processed to the original payment method within 3–7 business days (or up to 12 business days, depending on the bank).
ProFruits is not responsible for delays caused by banks, payment gateways, or third-party systems.

10. Customer Conduct

ProFruits reserves the right to refuse orders or terminate service to any individual engaging in:

  • Abusive, threatening, or fraudulent behavior

  • Repeated false claims or chargebacks

  • Misuse of refunds, replacements, or promotions

Any such misuse constitutes a violation of these Terms and may result in permanent account suspension or legal action.

11. Prohibited Activities

You agree not to:

  • Use the Site for unlawful, abusive, or fraudulent purposes.

  • Upload malware, viruses, or harmful code.

  • Attempt to access restricted areas or tamper with system integrity.

  • Impersonate others or provide false information.

Any misuse may result in immediate termination of access and, where necessary, legal enforcement.

  3. Indirect or Consequential Losses:
    ProFruits shall not be liable for any indirect, incidental, or consequential damages, including but not limited to emotional distress, loss of enjoyment, missed occasions, or reputational harm resulting from delays, substitutions, or natural spoilage.

  4. Delivery-Related Issues:
    We are not responsible for losses arising from:

    • Incorrect or incomplete addresses provided by the customer.

    • Recipient unavailability at the time of delivery.

    • Refused deliveries, restricted access locations, or security-controlled premises.

    • Delays caused by courier or logistical partners beyond our control.

  5. Third-Party Systems:
    We are not responsible for issues caused by third-party service providers, such as payment gateways, courier companies, or hosting servers.

  6. Force Majeure Events:
    ProFruits is not liable for any delay, cancellation, or failure in service due to events beyond our reasonable control, including but not limited to extreme weather, transport disruptions, strikes, accidents, natural disasters, government restrictions, or unforeseen import delays.

  7. Perishable Nature Disclaimer:
    Once fruits have been delivered in good condition, their storage, handling, and consumption become the responsibility of the customer. We are not responsible for spoilage, damage, or quality degradation occurring after delivery due to improper storage or handling.

By using this Site and placing an order, you expressly agree that ProFruits, its affiliates, employees, and agents shall not be held liable for any claim beyond the order’s invoiced value, regardless of the nature or cause of such claim.

13. Indemnification

You agree to indemnify and hold harmless ProFruits, its affiliates, employees, and agents from any losses, claims, damages, or expenses arising from your use of the Site, violation of these Terms, or infringement of third-party rights.

14. Force Majeure

We are not liable for delays or failures caused by events beyond our reasonable control, including natural disasters, severe weather, transport disruptions, supply shortages, or government restrictions.
If affected, we may reschedule delivery within 24 hours, where feasible.

15. Governing Law & Dispute Resolution

These Terms are governed by the laws of India, with exclusive jurisdiction vested in the courts of Mumbai, Maharashtra. Disputes should first be resolved amicably. If unresolved within 30 days, disputes shall be referred to arbitration in Mumbai under the Arbitration and Conciliation Act, 1996, presided over by a single arbitrator mutually appointed by both parties.

16. Severability & Waiver

If any part of these Terms is found to be invalid, unlawful, or unenforceable by a court or authority, the remaining provisions will continue to apply in full force.
This means that one invalid clause does not affect the validity of the rest of the Terms.

Failure by ProFruits to enforce any part of these Terms at any time does not mean we waive our right to enforce it later.
For example, if we choose to offer an exception or refund outside our usual policy as a goodwill gesture, it will not be considered a permanent change to our policies or rights.

17. Assignment

You may not assign your rights or obligations under these Terms without written consent. ProFruits may assign or transfer its rights to affiliates, successors, or partners without restriction.
